Terms of Service

Welcome to SportNest. These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “user”) and SportNest (“SportNest,” “we,” “us,” or “our”), a company registered in Nigeria. By creating an account, accessing, or otherwise using the SportNest platform (the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you must not access or use the Service. We reserve the right to modify these Terms at any time. Material changes will be communicated via in-app notification or email. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

You must be at least 13 years old (or the minimum age required in your jurisdiction, whichever is higher) to use SportNest. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

If you are between 13 and 18 years of age (or the age of legal majority in your jurisdiction), you must have the consent of a parent or legal guardian to use the Service, and that parent or guardian must agree to these Terms on your behalf.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and “you” refers to both you individually and that organization.

The Service is intended for users worldwide. However, certain features may be restricted or unavailable in specific jurisdictions due to local laws. You are responsible for ensuring your use of the Service complies with the laws applicable to you.

SportNest uses Google OAuth for authentication. When you sign in, we receive your name, email address, and profile picture as shared by Google. You do not create a separate password for SportNest — authentication is managed entirely by Google.

You are responsible for:

• Maintaining the security of your Google account and the device you use to access SportNest.
• All activity that occurs under your account, whether or not you authorized it.
• Notifying us immediately at support@sportnest.live if you suspect unauthorized access to your account.

You may not share your account credentials with others, transfer your account to another person, or create multiple accounts for a single individual. We reserve the right to suspend or terminate accounts that violate these restrictions.

You may choose a unique username (“handle”) for your profile. Usernames must be 3–30 characters and may contain letters, numbers, and underscores. You may not use a username that is confusingly similar to another brand, impersonates a public figure, or violates these Terms. We reserve the right to reclaim or modify usernames that violate these guidelines.

You retain ownership of all content you create on SportNest, including posts, comments, reactions, and profile information (“Your Content”). By submitting Your Content to the Service, you grant SportNest a worldwide, non-exclusive, royalty-free, license to use, reproduce, modify, adapt, publish, translate, distribute, and display Your Content solely for the purpose of operating, improving, and promoting the Service.

This license is limited in scope: it allows us to display your posts in match threads, show your profile to other users, and include your content in aggregated or anonymized form in analytics. We will not use Your Content for purposes unrelated to the Service without your explicit consent.

This license terminates when you delete Your Content or your account, except where we need to retain copies for backup, legal compliance, or to maintain thread integrity (in anonymized form).

You may delete Your Content at any time through the in-app interface. Upon deletion, we will remove Your Content from active systems within a reasonable timeframe, though anonymized copies may be retained in backups for a limited period as described in our Privacy Policy.

You represent and warrant that: (a) you own or have the necessary rights to Your Content; (b) Your Content does not infringe the intellectual property, privacy, or other rights of any third party; and (c) Your Content complies with these Terms and all applicable laws.

SportNest is a community for sports fans to discuss matches, share opinions, and connect with others. We expect all users to contribute to a respectful, inclusive, and enjoyable environment. You agree not to:

• Post content that is abusive, harassing, threatening, discriminatory, or hateful toward any individual or group based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic.
• Engage in personal attacks, bullying, or targeted harassment of other users.
• Post spam, unsolicited advertising, phishing attempts, or content designed to deceive or manipulate other users.
• Impersonate another person, brand, or organization, or falsely represent an affiliation with any entity.
• Share content that is sexually explicit, violent, or otherwise objectionable.
• Post confidential or private information about another person without their consent.
• Attempt to gain unauthorized access to other accounts, systems, or networks connected to the Service.
• Use automated tools (bots, scrapers, scripts) to access or interact with the Service, except through our published API or with our written permission.
• Interfere with, disrupt, or overburden the Service, including through denial-of-service attacks or resource exhaustion.
• Use the Service for any unlawful purpose or in furtherance of illegal activities.

We encourage you to report content or behavior that violates these guidelines. Reports are reviewed by our moderation team, and we take appropriate action based on the severity and context of the violation.

SportNest employs both automated systems and human moderators to enforce these Terms and maintain community standards. We may, at our sole discretion and without prior notice:

• Remove or hide content that violates these Terms or our community guidelines.
• Issue warnings for first-time or minor violations.
• Temporarily suspend account features (e.g., posting, commenting).
• Permanently terminate accounts for serious or repeated violations.
• Report illegal activity to law enforcement authorities.

We aim to apply rules consistently and fairly, but moderation decisions are made at our discretion based on the specific circumstances. Content that is factually accurate but controversial is generally permitted, provided it does not violate our conduct rules.

If your content is removed or your account is restricted, you may contact us at support@sportnest.live to request a review. We will respond to appeals within a reasonable timeframe.

Live scores, fixtures, statistics, and other match-related data displayed on SportNest are sourced from third-party sports data providers. While we strive for accuracy and timeliness, this data is provided on an “as-is” basis. We do not guarantee the accuracy, completeness, or timeliness of any match data.

You acknowledge that match data may be delayed, incomplete, or occasionally inaccurate due to factors beyond our control (e.g., provider outages, transmission delays). Any decisions you make based on match data displayed on SportNest are entirely your own responsibility.

Match data is owned by the respective data providers and sports organizations. You may not copy, redistribute, or commercially exploit match data obtained through SportNest without the express written permission of the data owner.

SportNest is a fan community platform for following, discussing, and sharing reactions to live matches. It is not a betting, gambling, or wagering platform. SportNest does not:

• Accept, facilitate, or process any bets or wagers of any kind.
• Provide odds, betting lines, or gambling-related financial services.
• Have any partnership with, endorsement of, or affiliation with any bookmaker, casino, or gambling operator.

Any content on SportNest that references betting, odds, or gambling is the personal opinion of individual users and does not represent the views of SportNest. Nothing on the Service constitutes betting advice, a recommendation to gamble, or an offer to provide gambling services.

If SportNest links to any third-party site (e.g., for ticketing, merchandise, or news), that site is independently operated. SportNest does not control and is not responsible for the content, practices, or services of any third-party site. Your use of third-party sites is subject to their respective terms and policies.

SportNest may send you notifications related to your account activity, including but not limited to: match events you follow, new followers, mentions in posts or comments, and replies to your content. You can manage your notification preferences in your profile settings.

If you opt in to email notifications (e.g., kickoff reminders), we will send emails only for the purposes you have authorized. You may opt out at any time by adjusting your profile settings or clicking the unsubscribe link in any email.

We may also send you service-related communications (e.g., changes to these Terms, security alerts) that are not subject to opt-out, as they are necessary for the operation of the Service.

The Service, including its design, code, graphics, logos, icons, and documentation (collectively, “SportNest IP”), is owned by SportNest and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of SportNest IP without our prior written consent.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use. This license does not include the right to:

• Reproduce, distribute, or create derivative works from the Service.
• Reverse engineer, decompile, or disassemble any aspect of the Service.
• Remove or alter any copyright, trademark, or other proprietary notices.
• Use the Service for commercial purposes without our permission.

The Service may contain links to third-party websites, services, or content that are not owned or controlled by SportNest. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites or services.

You acknowledge and agree that SportNest shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any third-party content, goods, or services available on or through any third-party site or service.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, SportNest does not warrant that: (a) the Service will be uninterrupted, timely, secure, or error-free; (b) the results obtained from the use of the Service will be accurate or reliable; (c) any errors or defects in the Service will be corrected; or (d) the Service is free of viruses or other harmful components.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence, willful misconduct, or death/injury caused by negligence.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SPORTNEST, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to, use of, or inability to use the Service.
• Any conduct or content of any third party on the Service.
• Any content obtained from the Service.
• Unauthorized access, use, or alteration of your transmissions or content.

In no event shall SportNest's aggregate liability exceed the greater of (a) the amount paid by you to SportNest in the twelve (12) months preceding the event giving rise to the liability, or (b) the equivalent of one hundred US dollars (US $100.00) or its equivalent in your local currency.

These limitations apply regardless of the legal theory (contract, tort, strict liability, or otherwise) and even if SportNest has been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you. In such cases, SportNest's liability shall be limited to the fullest extent permitted by applicable law.

You agree to defend, indemnify, and hold harmless SportNest, its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Service; (c) Your Content; or (d) your violation of any law or the rights of a third party.

You may terminate your account at any time by requesting account deletion through your profile settings or by contacting us at support@sportnest.live. Upon termination, your right to use the Service ceases immediately.

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, conduct that we determine is harmful to other users or the Service, or prolonged inactivity.

Upon termination by SportNest for cause, you may not create a new account. We reserve the right to retain certain data as required by law or for legitimate business purposes, as described in our Privacy Policy.

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties within thirty (30) days of written notice. If negotiation fails, the dispute shall be submitted to the exclusive jurisdiction of the courts of competent jurisdiction in Lagos State, Nigeria.

For users outside Nigeria: You may also be entitled to mandatory consumer protection rights under the laws of your country of residence. Nothing in these Terms deprives you of protections afforded by the mandatory consumer protection laws of your jurisdiction that cannot be waived by contract.

We may revise these Terms from time to time to reflect changes in the Service, legal requirements, or our business practices. When we make material changes, we will notify you through in-app notification, email, or by posting the updated Terms with a revised effective date.

Your continued use of the Service after the effective date of any updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and, if desired, delete your account.

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and SportNest regarding the use of the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.
